Videolabs End User License Agreement

Videolabs hereby grants you (“the Licensee”) a non-exclusive license to the LibVLCSharp Software Libraries for .NET (“the Software”).

This commercial license applies only to the .NET SDK (LibVLCSharp.* NuGet packages). LibVLC (VideoLAN.LibVLC.* NuGet packages) is not included in this commercial license and remains under the LGPL 2.1 (or later) or GPL license.

License Scope

Each license is granted to the Licensee as a single legal entity and covers one product line. A “product line” is a single commercial product or service, including all versions, editions, and variants of that product. If you develop multiple distinct products that use LibVLCSharp, each product line requires its own license. No seat limitation applies within the Licensee’s organization; employees and contractors acting on behalf of the Licensee are covered under the same license.

GPL/LGPL Exemption

This commercial license exempts the Licensee’s proprietary software from the copyleft obligations of the GNU General Public License (GPL) and GNU Lesser General Public License (LGPL) solely with respect to LibVLCSharp. libVLC itself remains licensed under the LGPL, and nothing in this license modifies or relicenses libVLC.

Ownership

Videolabs shall at all times retain ownership of the LibVLCSharp Software Libraries and all subsequent copies.

Copyright

Title, ownership rights, and intellectual property rights in and to the Software shall remain with Videolabs. The Software is protected by international copyright laws. Title, ownership rights, and intellectual property rights in and to the content accessed through the Software is the property of the applicable content owner and may be protected by applicable copyright or other law. This License gives you no rights to such content.

Support and Updates

While this license is active, the Licensee is entitled to all product updates released during the license term. Support is provided in good faith via our issue trackers, directly by our product teams. We aim to respond to all queries within 2 working days and to resolve reproducible issues in line with our product release schedule. This license does not constitute a Service Level Agreement. Videolabs is not responsible for the successful deployment, maintenance, or business function of the Licensee’s applications.

Term, Termination, and Perpetual Rights

The license is granted on a yearly subscription basis and may be renewed annually. In the event of non-payment, Videolabs may terminate the license only after providing written notice of default and granting a sixty (60) day cure period.

Upon expiration or non-renewal of the subscription, the Licensee retains perpetual rights to continue using the last version of the Software made available during an active subscription period, and to continue distributing that version as embedded within products already developed or shipped prior to termination. No right to receive updates, support, or new versions shall apply after termination unless the subscription is renewed.

Limitation Of Liability

Except in cases of willful misconduct by Videolabs, the total aggregate liability of Videolabs under this license shall not exceed twelve (12) months of subscription fees paid by the Licensee.

THIS SOFTWARE IS PROVIDED “AS IS,” WITHOUT A WARRANTY OF ANY KIND. ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, ARE HEREBY EXCLUDED. VIDEOLABS AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY DAMAGES SUFFERED BY LICENSEE AS A RESULT OF USING, MODIFYING OR DISTRIBUTING THE SOFTWARE OR ITS DERIVATIVES. IN NO EVENT WILL VIDEOLABS OR ITS LICENSORS BE LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF THE USE OF OR INABILITY TO USE SOFTWARE, EVEN IF VIDEOLABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Governing Law

This license shall be governed by and construed in accordance with the laws of France. Any dispute arising out of or in connection with this license shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France.
